Oui c'est possible... mais on peut pas être certain. Un engagement "via avocat" est tout a fait normal quand il s'agit du paiement éventuel de dommages-intérêts ou de frais juridiques. C'est bien évidemment le cas ici.

"Whereas" is simply a preamble. In my experience it is common to omit this in French court orders.

This is about ENGLISH law which is different to French law and an undertaking is being given through a lawyer, which is perfectly normal, especially with regard to money (in this case the possible payment of damages)

Thanks, but it's probably unfamilar wording to many translators; maybe the "whereas upon" has caused confusion...
