"HealthCare means, with respect to a given company, any company which is controlled by, controlling or under common control with this given company. For this purpose "control" shall mean the direct or indirect ownership of more than fifty per cent (50 %) of the issued and authorized voting shares of such entity, or such other relationship as in fact results in actual control over the management, business and affairs of such entity as the case may be.
Professionals" means any individual (except the patients themselves), institution or entity that has the ability to prescribe, acquire or influence the prescription or acquisition of products or services of SUPPLIER or its Affiliates (e.g. doctors, physicians, nurses, hospital management, etc.).
"GMP" means "Good Manufacturing Practices" standards applicable to the manufacturing and packaging of pharmaceutical products, which are established, published and enforced by the Regulatory Authorities and the World Health Organization (WHO)
ARTICLE 2: DISTRIBUTOR STATUS and AGREEMENT
21 SUPPLIER hereby appoints DISTRIBUTOR as its sole distributor for the Products in the Territory. DISTRIBUTOR shall neither sell any Products outside the Territory nor shall it sell to any third party with the knowledge that the Products sold will or might be shipped outside the Territory. DISTRIBUTOR shall transmit to SUPPLIER all enquiries from customers established outside of the Territory. DISTRIBUTOR shall also refrain from maintaining Products distribution warehouses or consignments outside the Territory.
2.2 DISTRIBUTOR commits itself during the term of this Agreement, to purchase the Products only from SUPPLIER or its designee, in such quantities as DISTRIBUTOR shall require for sale in the Territory by placement of orders at the prices established by SUPPLIER for the Territory.
2.3 DISTRIBUTOR shall purchase and sell the Products in its own name, for its own account and on its own risk. It is expressly agreed that DISTRIBUTOR, including its agents and employees, shall operate as an independent contractor, and is not an agent, representative or employee of SUPPLIER , having no authority to make contracts on behalf of, or in any way to bind the SUPPLIER towards third parties unless expressly authorized in writing by the latter, SUPPLIER. DISTRIBUTOR shall state on all its invoices, announcements and brochures, that it is an appointed independent distributor of SUPPLIER for the Products in the Territory.
24 Any transactions entered into between DISTRIBUTOR and its customers are done on DISTRIBUTORs sole financial risk and SUPPLIER shall in no event be liable for any such transactions.
2.5 DISTRIBUTOR shall not take any commitment nor make any legally binding statement including but not limited to, special sales conditions, discounts, deferred payment terms on behalf of SUPPLIER unless expressly authorized by this latter in writing.
2.6 Non-competition: as long as this Agreement is in force between the parties and for one (1) year after its termination or expiry, DISTRIBUTOR undertakes not to have any interest whatsoever or engage itself directly or indirectly (e.g. through its Affiliates) in the Territory,
such situation SUPPLIER shall have the ultimate right to make all final decisions and decide if a recall of Product shall be carried out by DISTRIBUTOR in the Territory and the related extent, including for those cases where a recall may not be strictly required according to local law and regulations but useful.
Whenever a recall or a withdrawal of a Product is being decided, DISTRIBUTOR shall immediately cease the promotion, sale and distribution of this Product, comply with all instructions of SUPPLIER with regard to such recall or withdrawal and fully cooperate with SUPPLIER, at DISTRIBUTOR's own costr in order to reach a resolution of such matters.
ARTICLE 9: TRADEMARKS, INTELLECTUAL PROPERTIES and MODIFICATION or DISCONTINUATION OF PRODUCTS
9.1 All trademarks (the "Trademarks") and all other intellectual property and goodwill relating the Products therein in respect of the Products including, without limitation, any patent rights, model and design rights, topography rights, trademark rights, and/or any applications for such rights, copyrights, neighboring rights, portrait rights, database rights, trade names and know how, as well as any similar rights (hereinafter referred to as "Intellectual Property") shall remain at all times the exclusive property of SUPPLIER, its Affiliates or other companies from whom it may derive its rights. This Article 9.1 shall survive the termination or expiry of this Agreement.
9.2 The Products shall be sold by DISTRIBUTOR under the Trademarks and on all Products, containers and advertisements for the Products the symbol @ shall be used in conjunction with the registered Trademarks or "TM" in conjunction with any Trademark applications. DISTRIBUTOR agrees that it may use the Trademarks only to further the promotion and sale of the Products such Trademarks identify. DISTRIBUTOR may only use the Trademarks in their standard form and style as they appear upon the Products or as instructed in writing by SUPPLIER.
9.3 DISTRIBUTOR shall not, without the prior written consent of SUPPLIER, alter or make any addition to the labeling or packaging of the Products displaying the Trademarks, and shall not alter, deface or remove in any manner any reference to the Trademarks, any reference to SUPPLIER or any other name attached or affixed to the Products or their packaging or labeling.
9.4 Where the law of the Territory requires DISTRIBUTOR to register its use of the Trademarks while importing or dealing in the Products, DISTRIBUTOR shall : i). obtain Supplier's prior written authorization, and ii) be bound to deregister or transfer such rights in favor of SUPPLIER or its nominee immediately upon termination for whatever reason of this Agreement: and in respect of any failure or delay to do so DISTRIBUTOR hereby irrevocably appoints SUPPLIER as its agent for executing such purposes. This Article 9.4 shall survive the termination or expiry of this Agreement.
9.5 DISTRIBUTOR and its Affiliates must never source or sell goods that are counterfeit. A "counterfeit" is a product designed, dressed, branded and/or packaged in a manner intended to be indistinguishable from that of the genuine original and not manufactured and/or distributed with the authorization of the legal brand owner. DISTRIBUTOR agrees to inform SUPPLIER promptly about any infringement of SUPPLIER's Intellectual Property or of any act of unfair competition against the Products of which it has knowledge. If SUPPLIER, at its sole and final discretion, decides to take legal action, DISTRIBUTOR agrees to assist in every possible way. The costs incurred for actions requested by SUPPLIER shall be borne by SUPPLIER.
9.6 Subject to any necessary approvals of the appropriate authorities in the Territory, SUPPLIER and its Affiliates reserves the right at any time during the term of this Agreement to modify or change the Products' package and art designs, and further, without otherwise affecting the obligations of the parties hereto, to discontinue the supply of, or remove from coverage hereunder any of the Products, provided however, SUPPLIER gives three (3) months notice to DISTRIBUTOR in the event that SUPPLIER or its Affiliates elects to discontinue the sale of one or more of the Products in the Territory. DISTRIBUTOR shall use its best efforts to help SUPPLIER or its Affiliates obtain from the appropriate authorities in the Territory, approval for any such modifications, changes or discontinuations requested by DISTRIBUTOR or its Affiliates.
ARTICLE 10: ORGANIZATION
10.1 In accordance with the provision of this Article 10, DISTRIBUTOR already has and shall maintain the qualified staff for the performance of this Agreement (the "Staff'). Such Staff shall be continuously trained to sell and market the Products, to provide technical advice to customers and prospective customers, promptly investigate any complaints by any customers with respect to the Products, attempt to obtain an appropriate sample of such Products and promptly communicate the results of such investigation and forward such sample to SUPPLIER. At SUPPLIER's request, the Staff shall participate in training courses and seminars organized by SUPPLIER.
1 0.2 It is hereby clarified that the Staff are employed by DISTRIBUTOR, which is their employer and shall as such assume all the employment responsibilities towards them, DISTRIBUTOR shall ensure that its Staff shall always comply with SUPPLIER's instructions when promoting and marketing the Products.
10.3 DISTRIBUTOR and its officers have read and understood the SUPPLIER's Policy on the Employment of Young Persons (the "Policy") attached to this Agreement under Annex E. In the promotion and commercialization of all Products hereunder, DISTRIBUTOR shall employ young persons only as permitted by the Policy. DISTRIBUTOR shall permit representatives of SUPPLIER to enter DISTRIBUTOR's premises at any reasonable time, and DISTRIBUTOR shall ensure that representatives of SUPPLIER shall be permitted to enter the premises of any subcontractor involved in the promotion and commercialization of any Products (or component thereof) at any reasonable time, in order to inspect relevant employment, health and safety records and to observe the manufacturing process where applicable. DISTRIBUTOR shall maintain the records necessary to demonstrate compliance with the Policy.
ARTICLE 11: CONFIDENTIALITY
1 1.1 DISTRIBUTOR agrees to keep confidential and not to use or disclose to others during or subsequent to the term of this Agreement, except as is necessary in the proper performance of its duties as distributor of the Products and unless required by law or a legal act of a competent authority, any information regarding the plans, programs, plants, processes, products, equipment, operations, finances or customers of SUPPLIER, its parent company or any other subsidiary of the parent company or any affiliate of SUPPLIER which the DISTRIBUTOR may obtain or have access to ("Confidential Information"), without in each instance securing the prior written consent of SUPPLIER and DISTRIBUTOR will cause its employees to observe the foregoing, unless such information was at the commencement of this Agreement already publicly available.
1 1 .2 Upon termination of this Agreement, DISTRIBUTOR shall return to SUPPLIER all data, information and materials of any kind which constitute Confidential Information as defined in this Section, along with all copies, adaptations and independent compilations thereof made by DISTRIBUTOR or otherwise in its possession.
1 1.3 This Article 11 shall survive the termination and expiry of this Agreement for five (5) years,
1 1.4 DISTRIBUTOR shall not issue any press release or circulate other publicity materials, or make any presentation or announcement with respect to the existence of this Agreement or the terms and conditions hereof without the prior written consent of SUPPLIER in each instance
ARTICLE 12: TERM and TERMINATION
121 Unless terminated earlier pursuant to the provisions hereunder, this Agreement will remain valid and in force for an initial period of tN0 (2) years from the Effective Date. This Agreement shall be renewed automatically for further period(s) of twelve (12) months each unless one party shall notify the other party of its willingness not to renew this Agreement by virtue of a six (6) months notice prior the end of the initial period or of any of the successive periods.
12.2 Either party may terminate this Agreement with immediate effect at any time (even during the initial period of this Agreement) by written notice sent to the other party in the event of one of the following cases:
a) if the other party fails to observe or perform any of its material obligations or a series of non-material obligations under this Agreement and fails to correct such failure within thirty (30) days after notice thereof;
b) if bankruptcy proceedings are initiated against the other party or the other party becomes insolvent or takes a decision for liquidation or makes an assignment for the benefit of creditors, applies for concordat, or a receiver, bankruptcy officer or concordat commissar is appointed to take charge of all or part of its assets or the attachment of its assets in part or in whole or is in default of payment of its debts and such conditions are not lifted within 30 days;
c) if the other party is unable for three (3) successive months to execute its obligations under this Agreement (e.g. not paying the Products' due invoices), for 3 successive months, etc.) due to whatsoever reason, even due to a force majeure event as allowed in Article 13 hereunder;
d) in the event that it becomes physically or legally impossible or commercially impracticable for either party to perform its obligations due to any acts of any government or any change in such governments' laws, regulations or policies (e.g. new trade sanctions imposed by United States on the Territory).
12.3 This Agreement has been entered into by SUPPLIER in consideration of and in reliance on the individuals actually constituting the ownership and the heirs of the ownership of DISTRIBUTOR, who work in the management of DISTRIBUTOR, and which names and titles are indicated in Annex H of this Agreement, Therefore, SUPPLIER shall, as soon as possible, be notified of any substantial or intended change in the ownership and/or managing heirs of DISTRIBUTOR. SUPPLIER reserves the right to terminate this Agreement by prior written notice sent to DISTRIBUTOR in any such event of any such change.
12.4 SUPPLIER has also the right to terminate this Agreement with immediate effect in case: i) DISTRIBUTOR fails to comply with the provision of art. 3.1. of this Agreement, and ii) DISTRIBUTOR breaches any of the provisions of Annex F (irrespective of the size, nature or materiality of such violation), such failure shall be deemed to be a material breach of this Agreement and, upon any such failure, Supplier shall have the right to terminate this Agreement with immediate effect, and without penalty or liability of any nature whatsoever.
12.5 Upon termination or expiry of this Agreement, the following provision shall take place:
(a) SUPPLIER shall by reason of the termination of, or failure to renew, this Agreement not be liable to the DISTRIBUTOR for compensation, reimbursement or damages either on account of present or prospective profits on any sales or anticipated sales of the Products or on account of any expenditures, investments or commitments made in connection therewith or in connection with the establishment, development or maintenance of the business or goodwill;
(b) DISTRIBUTOR shall stop immediately any activity in respect of the sale of the Products with the sole exception of the liquidation of its inventory, provided SUPPLIER does not repurchase this inventory in accordance with the following provision;
(c) SUPPLIER reserves the right to repurchase from DISTRIBUTOR any or all the Products unsold by DISTRIBUTOR at the landed cost (CIP+ customs + clearance + local transportation) paid by DISTRIBUTOR;
(d) SUPPLIER may renounce the option of the paragraph (c) above and allow in writing DISTRIBUTOR to continue selling the Products it has in stock on the date of termination for a period of six (6) months thereafter, subject to the terms and conditions of this Agreement;
(e) DISTRIBUTOR shall return to SUPPLIER, or any other person SUPPLIER may direct, at SUPPLIER's expense, all data and documents relating to the Products, sales promotion materials and aids furnished to DISTRIBUTOR by SUPPLIER;
(f) DISTRIBUTOR shall promptly discontinue every use of SUPPLIERs name, brands or Trademarks and any language stating or suggesting that DISTRIBUTOR is a distributor of SUPPLIER;
(g) DISTRIBUTOR shall make all outstanding payments unconditionally and unsolicited within three (3) months after termination of this Agreement at the latest through secured payment (e.g. by bank guarantee, letter of credit or transfer). In case of termination or expiry of this Agreement, terms of payment of later date(s) than said three (3) months shall automatically be canceled;
(h) SUPPLIER, upon notification by either party of the termination or non-renewal of this Agreement, shall be free to negotiate with third parties for agreements that will replace this Agreement after its expiration. However, it is understood and agreed that such negotiations must not affect the performance of either party of the terms, conditions and stipulations of this Agreement as long as they are in force;
(i) upon notification by either party of the termination or non-renewal of this Agreement, DISTRIBUTOR hereby guarantees that during the notice period it will continue to duly and timely perform its obligations herein in relation to the sale of the Products, including, the achievement of the business targets which may be agreed between the Parties.. DISTRIBUTOR undertakes not to create any hindrances for a smooth continuation of the sales of the Products, including but not limited to, the negotiations and registration of an agreement related thereto with any other person in the Territory provided that SUPPLIER has itself complied with its own post-terminating obligations under this Article
12.5;
(j) SUPPLIER, upon notification by either party of the termination or non-renewal of this Agreement, shall be entitled to set reasonable maximum order quantities for Products in order to avoid or limit the Products stock remaining with DISTRIBUTOR after the termination date of this Agreement. SUPPLIER shall determine such maximum order quantities taking into account (i) DISTRIBUTOR past sales figures for the concerned Products, (ii) the actual market conditions and needs in the Territory and (iii) the remaining term of the Agreement;
(k) To the extend required by the applicable law in the Territory, DISTRIBUTOR shall renounce in favor of SUPPLIER or its nominee and/or surrender automatically to SUPPLIER or its nominee at least thirty (30) days prior to the termination or expiry of this Agreement, or any later term granted by SUPPLIER at its sole discretion, any import permits, health registrations, licenses, exemptions from customs duties and governmental consents of any nature whatsoever which DISTRIBUTOR may have or retain and which are required to import, warehouse and distribute the Products in the Territory. DISTRIBUTOR shall take all necessary steps toward the competent authorities in the Territory to this end;
(l) The termination or expiry of this Agreement shall not affect the validity of the surviving or post-termination obligations (e.g. Articles 5), 3.2i 9.1, 9.4, 11, 12.5, 14 and 15), which shall survive or apply after such termination or expiry.
ARTICLE 13: FORCE MAJEURE
13.1 Neither party to this Agreement shall be liable for its failure to perform any of its obligations under this Agreement, whilst such performance is hindered by or rendered impossible due to flood, war, embargo, riot, earthquake, or national government policy, strike or any other causes beyond the reasonable control of either party herein, and the party or parties affected shall notify the other party in writing immediately consequent to the event.
13.2 If however, either party's performance is delayed for reasons defined herein, for a continuous period in excess of three (3) months from the date of notification to the other party, then such other party may terminate the Agreement in accordance with Article 12.2
ARTICLE 14: GENERAL LIABILITY and INDEMNIFICATION
14.1 Except as specifically provided for in Clause 14.4 no Party shall have any liability for incidental or consequential damages, including but not limited to loss of profit or revenues, loss of use of equipment, cost of capital or cost of substitute products facilities or services. Nothing in this Clause 14.1 shall be deemed to limit the Parties' indemnification undertakings contained in Clause 14.5
14.2 For the avoidance of any doubt, damages which flow directly and immediately from an act or an omission attributable at least in part to the DISTRIBUTOR as well as all foreseeable and/or continuing damages shall constitute direct loss and/or damages for the purposes of this Agreement and shall not be subject to the exclusion of liability set out in 14.1
14.3 SUPPLIER makes no representation or warranty, express or implied, except as explicitly set forth in this Agreement
144 Notwithstanding any other provision of this Agreement, either Party's liability for: (i) breach of the obligations set forth in Clauses 14.5 and l l .; (ii) death or personal injury to the extent that such death or injury results from the gross negligence or willful default of such Party; and/or (iii) fraudulent misrepresentation and willful misconduct shall not be subject to any limitation.
14.5 DISTRIBUTOR shall, at its own expense, defend, indemnify and hold the SUPPLIER and its respective officers, directors, employees, subcontractors, agents and assigns harmless from and against all claims, liabilities, costs and expenses of whatsoever nature, including reasonable attorneys' and professional fees, arising out of or in connection with any of the following:

3-9 لا يجوز للموزع، دون موافقة كتابية مسبقة من المورد، تغيير أو إضافة أي إضافة إلى ملصق أو تغليف المنتجات التي تعرض العلامات التجارية، ولا يجوز له تغيير أو تشويه أو إزالة أي إشارة إلى العلامات التجارية أو أي إشارة إلى المورد أو أي اسم آخر مرفق أو مثبت على المنتجات أو تغليفها أو وضع العلامات عليها بأي شكل من الأشكال.
4/9 عندما يتطلب قانون الإقليم من الموزع تسجيل استخدامه للعلامات التجارية أثناء استيراد المنتجات أو التعامل فيها، يجب على الموزع: (1) الحصول على إذن كتابي مسبق من المورد، و (2) الالتزام بإلغاء تسجيل أو نقل هذه الحقوق لصالح المورد أو من ينوب عنه فور الإنهاء لأي سبب من أسباب هذه الاتفاقية: وفيما يتعلق بأي فشل أو تأخير في القيام بذلك، يقوم الموزع بموجب هذا بتعيين المورد بشكل لا رجعة فيه كوكيل له لتنفيذ هذه الأغراض. تظل هذه المادة 9.4 سارية بعد إنهاء أو انتهاء هذه الاتفاقية.
5/9 يجب ألا يقوم الموزع والشركات التابعة له مطلقًا بتوريد أو بيع السلع المزيفة. «المنتجات المقلدة» هي منتج تم تصميمه و/ أو ارتدائه و/أو وضع علامة تجارية عليه و/ أو تعبئته بطريقة لا يمكن تمييزها عن المنتج الأصلي ولم يتم تصنيعه و/ أو توزيعه بتفويض من مالك العلامة التجارية القانوني. يوافق الموزع على إبلاغ المورد على الفور بأي انتهاك للملكية الفكرية للمورد أو بأي عمل من أعمال المنافسة غير العادلة ضد المنتجات التي لديه علم بها. إذا قرر المورد، وفقًا لتقديره الخاص والنهائي، اتخاذ إجراء قانوني، يوافق الموزع على المساعدة بكل طريقة ممكنة. يتحمل المورد التكاليف المتكبدة للإجراءات التي يطلبها المورد.
6/9 مع مراعاة أي موافقات ضرورية من السلطات المختصة في الإقليم، يحتفظ المورد والشركات التابعة له بالحق في أي وقت خلال مدة هذه الاتفاقية في تعديل أو تغيير حزمة المنتجات والتصميمات الفنية، علاوة على ذلك، دون التأثير بخلاف ذلك على التزامات الأطراف الواردة في هذه الاتفاقية، في وقف توريد أي من المنتجات أو إزالتها من التغطية بموجب هذه الاتفاقية، ولكن بشرط أن يقدم المورد إشعارًا مدته ثلاثة (3) أشهر إلى الموزع في حالة قيام المورد أو الشركات التابعة له بذلك يقرر التوقف عن بيع واحد أو أكثر من المنتجات في الإقليم. يجب على الموزع بذل قصارى جهده لمساعدة المورد أو الشركات التابعة له في الحصول من السلطات المختصة في الإقليم على الموافقة على أي تعديلات أو تغييرات أو عمليات إيقاف يطلبها الموزع أو الشركات التابعة له.
المادة 10: المنظمة
1/10 وفقًا لأحكام هذه المادة 10، فإن الموزع لديه بالفعل وسيحافظ على الموظفين المؤهلين لأداء هذه الاتفاقية («الموظفون»). يجب تدريب هؤلاء الموظفين باستمرار على بيع المنتجات وتسويقها، وتقديم المشورة الفنية للعملاء والعملاء المحتملين، والتحقيق الفوري في أي شكاوى من قبل أي عملاء فيما يتعلق بالمنتجات، ومحاولة الحصول على عينة مناسبة من هذه المنتجات وإبلاغ نتائج هذا التحقيق على الفور وإرسال هذه العينة إلى المورد. بناءً على طلب المورد، يجب على الموظفين المشاركة في الدورات التدريبية والندوات التي ينظمها المورد.
2/10 من الواضح هنا أن الموظفين يتم توظيفهم من قبل الموزع، وهو صاحب العمل، وبالتالي يجب أن يتحملوا جميع مسؤوليات التوظيف تجاههم، ويجب على الموزع التأكد من أن موظفيه يجب أن يمتثلوا دائمًا لتعليمات المورد عند الترويج للمنتجات وتسويقها.
3/10 قام الموزع ومسؤوليه بقراءة وفهم سياسة المورد بشأن توظيف الشباب («السياسة») المرفقة بهذه الاتفاقية بموجب الملحق (د) في الترويج والتسويق لجميع المنتجات الواردة أدناه، يجب على الموزع توظيف الشباب فقط وفقًا لما تسمح به السياسة. يجب على الموزع السماح لممثلي المورد بدخول مقر الموزع في أي وقت معقول، ويجب على الموزع التأكد من السماح لممثلي المورد بدخول مباني أي مقاول من الباطن يشارك في ترويج وتسويق أي منتجات (أو مكون منها) في أي وقت معقول، من أجل فحص سجلات التوظيف والصحة والسلامة ذات الصلة ومراقبة عملية التصنيع عند الاقتضاء. يجب على الموزع الاحتفاظ بالسجلات اللازمة لإثبات الامتثال للسياسة.
المادة 11: السرية
1/11 يوافق الموزع على الحفاظ على السرية وعدم استخدامها أو الكشف عنها للآخرين أثناء مدة هذه الاتفاقية أو بعدها، باستثناء ما هو ضروري في الأداء السليم لواجباته كموزع للمنتجات وما لم يقتض القانون أو إجراء قانوني صادر عن سلطة مختصة، أي معلومات تتعلق بالخطط أو البرامج أو المصانع أو العمليات أو المنتجات أو المعدات أو العمليات أو الشؤون المالية أو عملاء المورد أو الشركة الأم أو أي شركة تابعة أخرى للشركة الأم أو أي شركة تابعة للمورد التي قد يحصل عليها الموزع أو يمتلكها سيؤدي الوصول إلى («المعلومات السرية»)، دون الحصول في كل حالة على موافقة كتابية مسبقة من المورد والموزع، إلى قيام موظفيها بمراعاة ما سبق، ما لم تكن هذه المعلومات في بداية هذه الاتفاقية متاحة للجمهور بالفعل.
2/11 عند إنهاء هذه الاتفاقية، يجب على الموزع أن يعيد إلى المورد جميع البيانات والمعلومات والمواد من أي نوع التي تشكل معلومات سرية على النحو المحدد في هذا القسم، إلى جانب جميع النسخ والتعديلات والتجميعات المستقلة منها التي أعدها الموزع أو في حوزته.
3/11 تظل هذه المادة 11 سارية بعد إنهاء وانتهاء هذه الاتفاقية لمدة خمس (5) سنوات،
4/11 لا يجوز للموزع إصدار أي بيان صحفي أو تعميم مواد دعائية أخرى، أو تقديم أي عرض أو إعلان فيما يتعلق بوجود هذه الاتفاقية أو الشروط والأحكام الواردة فيها دون موافقة كتابية مسبقة من المورد في كل حالة.
المادة 12: المدة والإنهاء
1/12 ما لم يتم إنهاؤها في وقت سابق وفقًا للأحكام الواردة أدناه، ستظل هذه الاتفاقية سارية المفعول وسارية لفترة أولية تبلغ (2) سنوات من تاريخ السريان. يتم تجديد هذه الاتفاقية تلقائيًا لفترة (فترات) أخرى مدتها اثني عشر (12) شهرًا لكل منها ما لم يخطر أحد الطرفين الطرف الآخر برغبته في عدم تجديد هذه الاتفاقية بموجب إشعار مدته ستة (6) أشهر قبل نهاية الفترة الأولية أو أي من الفترات المتتالية.
2/12 يجوز لأي من الطرفين إنهاء هذه الاتفاقية بأثر فوري في أي وقت (حتى خلال الفترة الأولية من هذه الاتفاقية) بإشعار كتابي يتم إرساله إلى الطرف الآخر في حالة حدوث إحدى الحالات التالية:
أ. إذا فشل الطرف الآخر في مراعاة أو تنفيذ أي من التزاماته المادية أو سلسلة من الالتزامات غير المادية بموجب هذه الاتفاقية وفشل في تصحيح هذا الفشل في غضون ثلاثين (30) يومًا بعد الإخطار بذلك؛
ب. إذا بدأت إجراءات الإفلاس ضد الطرف الآخر أو أصبح الطرف الآخر معسرًا أو اتخذ قرارًا بالتصفية أو قام بإحالة لصالح الدائنين، أو تقدم بطلب للحصول على اتفاق قسري، أو تم تعيين متلقي أو مسؤول إفلاس أو مفوض اتفاق قسري لتولي مسؤولية كل أو جزء من أصوله أو الحجز على أصوله جزئيًا أو كليًا أو مقصرًا في سداد ديونه ولم يتم رفع هذه الشروط في غضون 30 يومًا؛
ت. إذا كان الطرف الآخر غير قادر لمدة ثلاثة (3) أشهر متتالية على تنفيذ التزاماته بموجب هذه الاتفاقية (مثل عدم دفع الفواتير المستحقة للمنتجات)، لمدة 3 أشهر متتالية، وما إلى ذلك) لأي سبب من الأسباب، حتى بسبب حدث قوة قاهرة على النحو المسموح به في المادة 13 أدناه؛
ث. في حال أصبح من المستحيل ماديًا أو قانونيًا أو غير عملي تجاريًا لأي من الطرفين أداء التزاماته بسبب أي أعمال صادرة عن أي حكومة أو أي تغيير في قوانين أو لوائح أو سياسات هذه الحكومات (مثل العقوبات التجارية الجديدة التي تفرضها الولايات المتحدة على الإقليم).
12/3 تم إبرام هذه الاتفاقية من قبل المورد بالنظر والاعتماد على الأفراد الذين يشكلون بالفعل ملكية وورثة ملكية الموزع، والذين يعملون في إدارة الموزع، والأسماء والألقاب المشار إليها في الملحق (هـ) من هذه الاتفاقية، لذلك، يجب إخطار المورد، في أقرب وقت ممكن، بأي تغيير جوهري أو مقصود في ملكية و/أو إدارة ورثة الموزع. يحتفظ المورد بالحق في إنهاء هذه الاتفاقية بإشعار كتابي مسبق يتم إرساله إلى الموزع في أي حالة من هذا القبيل لأي تغيير من هذا القبيل.
12/4 يحق للمورد أيضًا إنهاء هذه الاتفاقية بأثر فوري في حالة: (1) فشل الموزع في الامتثال لأحكام المادة 3.1. من هذه الاتفاقية، و (2) خرق الموزع لأي من أحكام الملحق (ح) بغض النظر عن حجم أو طبيعة أو أهمية هذا الانتهاك، يعتبر هذا الفشل خرقًا ماديًا لهذه الاتفاقية، وعند حدوث أي فشل من هذا القبيل، للمورد الحق في إنهاء هذه الاتفاقية بأثر فوري، وبدون عقوبة أو مسؤولية من أي نوع.
12/5 عند إنهاء هذه الاتفاقية أو انتهاء صلاحيتها، يسري الحكم التالي:
أ. لن يكون المورد، بسبب إنهاء هذه الاتفاقية أو عدم تجديدها، مسؤولاً أمام الموزع عن التعويض أو السداد أو الأضرار سواء بسبب الأرباح الحالية أو المتوقعة من أي مبيعات أو مبيعات متوقعة للمنتجات أو بسبب أي نفقات أو استثمارات أو التزامات تم التعهد بها فيما يتعلق بذلك أو فيما يتعلق بإنشاء أو تطوير أو صيانة الشركة أو الشهرة التجارية؛
ب. يجب على الموزع أن يوقف فورًا أي نشاط يتعلق ببيع المنتجات باستثناء تصفية مخزونه فقط، بشرط ألا يقوم المورد بإعادة شراء هذا المخزون وفقًا للحكم التالي؛
ت. يحتفظ المورد بالحق في إعادة الشراء من الموزع لأي أو كل المنتجات غير المباعة من قبل الموزع) بتكلفة أجرة حمل وتأمين مدفوعة+ الجمارك + التخليص + النقل المحلي) التي يدفعها الموزع؛
ث. يجوز للمورد التخلي عن خيار الفقرة (ج) أعلاه والسماح كتابيًا للموزع بمواصلة بيع المنتجات الموجودة في المخزون في تاريخ الإنهاء لمدة ستة (6) أشهر بعد ذلك، وفقًا لشروط وأحكام هذه الاتفاقية؛
ج. يجب على الموزع العودة إلى المورد، أو أي شخص آخر يجوز للمورد أن يوجه، على نفقة المورد، جميع البيانات والمستندات المتعلقة بالمنتجات ومواد ترويج المبيعات والمساعدات المقدمة إلى الموزع من قبل المورد؛
ح. يجب على الموزع أن يوقف على الفور كل استخدام لاسم المورد أو العلامات التجارية أو العلامات التجارية وأي لغة تنص أو تشير إلى أن الموزع هو موزع للمورد؛
خ. يجب على الموزع تسديد جميع المدفوعات المستحقة دون قيد أو شرط أو طلب في غضون ثلاثة (3) أشهر بعد إنهاء هذه الاتفاقية على أبعد تقدير من خلال الدفع المضمون (على سبيل المثال عن طريق ضمان بنكي أو خطاب اعتماد أو تحويل). في حالة إنهاء هذه الاتفاقية أو انتهاء صلاحيتها، يتم تلقائيًا إلغاء شروط الدفع التي تتجاوز التاريخ (التواريخ) الثلاثة (3) المذكورة؛
د. يتمتع المورد، بناءً على إخطار من أي من الطرفين بإنهاء أو عدم تجديد هذه الاتفاقية، بحرية التفاوض مع أطراف ثالثة بشأن الاتفاقيات التي ستحل محل هذه الاتفاقية بعد انتهاء صلاحيتها. ومع ذلك، من المفهوم والمتفق عليه أن مثل هذه المفاوضات يجب ألا تؤثر على أداء أي من الطرفين لشروط وأحكام هذه الاتفاقية طالما أنها سارية؛
ذ. عند إخطار أي من الطرفين بإنهاء هذه الاتفاقية أو عدم تجديدها، يضمن الموزع بموجب هذا أنه سيستمر خلال فترة الإشعار في أداء التزاماته على النحو الواجب وفي الوقت المناسب فيما يتعلق ببيع المنتجات، بما في ذلك تحقيق أهداف العمل التي قد يتم الاتفاق عليها بين الطرفين. يتعهد الموزع بعدم إنشاء أي عوائق أمام الاستمرار السلس لمبيعات المنتجات، بما في ذلك على سبيل المثال لا الحصر، المفاوضات وتسجيل الاتفاقية المتعلقة بها مع أي شخص آخر في الإقليم شريطة أن يكون المورد نفسه قد امتثل لالتزاماته بعد الإنهاء بموجب المادة 12-5.
ر. يحق للمورد، بناءً على إخطار من أي من الطرفين بإنهاء أو عدم تجديد هذه الاتفاقية، تعيين حد أقصى معقول لكميات الطلب للمنتجات من أجل تجنب أو الحد من مخزون المنتجات المتبقي لدى الموزع بعد تاريخ إنهاء هذه الاتفاقية. يجب على المورد تحديد كميات الطلب القصوى هذه مع مراعاة (1) أرقام المبيعات السابقة للموزع للمنتجات المعنية، (2) ظروف واحتياجات السوق الفعلية في الإقليم و (3) المدة المتبقية من الاتفاقية؛
ز. إلى الحد الذي يقتضيه القانون المعمول به في الإقليم، يجب على الموزع التخلي لصالح المورد أو مرشحه و/أو الاستسلام تلقائيًا للمورد أو مرشحه قبل ثلاثين (30) يومًا على الأقل من إنهاء أو انتهاء هذه الاتفاقية، أو أي مدة لاحقة يمنحها المورد وفقًا لتقديره الخاص، عن أي تصاريح استيراد وتسجيلات صحية وتراخيص وإعفاءات من الرسوم الجمركية والموافقات الحكومية من أي نوع قد يمتلكها الموزع أو يحتفظ بها والمطلوبة للاستيراد، مستودع وتوزيع المنتجات في الإقليم. يجب على الموزع اتخاذ جميع الخطوات اللازمة تجاه السلطات المختصة في الإقليم لتحقيق هذه الغاية؛
س. لا يؤثر إنهاء أو انتهاء هذه الاتفاقية على صحة الالتزامات الباقية أو اللاحقة للإنهاء (مثل المواد 5) و 3.2i 9.1 و 9.4 و 11 و 12.5 و 14 و 15)، والتي تظل سارية أو سارية بعد هذا الإنهاء أو انتهاء الصلاحية.
المادة 13: القوة القاهرة
1/13 لا يتحمل أي طرف في هذه الاتفاقية مسؤولية فشله في أداء أي من التزاماته بموجب هذه الاتفاقية، في حين أن هذا الأداء يعوقه أو يصبح مستحيلًا بسبب الفيضانات أو الحرب أو الحظر أو أعمال الشغب أو الزلازل أو سياسة الحكومة الوطنية أو الإضراب أو أي أسباب أخرى خارجة عن السيطرة المعقولة لأي من الطرفين هنا، ويجب على الطرف أو الأطراف المتضررة إخطار الطرف الآخر كتابيًا فور وقوع الحدث.
13/2 ومع ذلك، إذا تأخر أداء أي من الطرفين للأسباب المحددة هنا، لفترة مستمرة تزيد عن ثلاثة (3) أشهر من تاريخ إخطار الطرف الآخر، فيجوز لهذا الطرف الآخر إنهاء الاتفاقية وفقًا للمادة 12.2.
المادة 14: المسؤولية العامة والتعويض
14/1 باستثناء ما هو منصوص عليه تحديدًا في البند 14.4، لا يتحمل أي طرف أي مسؤولية عن الأضرار العرضية أو التبعية، بما في ذلك على سبيل المثال لا الحصر خسارة الأرباح أو الإيرادات أو فقدان استخدام المعدات أو تكلفة رأس المال أو تكلفة المنتجات أو المرافق أو الخدمات البديلة. لا يعتبر أي شيء في هذا البند 14.1 بمثابة تقييد لتعهدات تعويض الأطراف الواردة في البند 14.5.
14/2 لتجنب أي شك، فإن الأضرار التي تنجم بشكل مباشر وفوري عن فعل أو إغفال يُعزى جزئيًا على الأقل إلى الموزع وكذلك جميع الأضرار المتوقعة و/أو المستمرة تشكل خسارة و/أو أضرار مباشرة لأغراض هذه الاتفاقية ولن تخضع لاستبعاد المسؤولية المنصوص عليها في 14.1
14/3 لا يقدم المورد أي تمثيل أو ضمان، صريحًا أو ضمنيًا، باستثناء ما هو منصوص عليه صراحة في هذه الاتفاقية
14/4 بصرف النظر عن أي حكم آخر من أحكام هذه الاتفاقية، فإن مسؤولية أي من الطرفين عن: (1) خرق الالتزامات المنصوص عليها في البندين 14.5 و1 ذو1؛ (2) الوفاة أو الإصابة الشخصية إلى الحد الذي تكون فيه هذه الوفاة أو الإصابة ناتجة عن الإهمال الجسيم أو التقصير المتعمد لهذا الطرف؛ و/أو (3) التحريف الاحتيالي وسوء السلوك المتعمد لا تخضع لأي قيود.
14/5 يجب على الموزع، على نفقته الخاصة، الدفاع عن المورد ومسؤوليه ومديريه وموظفيه والمقاولين من الباطن والوكلاء والمتنازل لهم وتعويضهم وحمايتهم من جميع المطالبات والالتزامات والتكاليف والنفقات من أي نوع، بما في ذلك أتعاب المحامين والمهنيين المعقولة، الناشئة عن أو فيما يتعلق بأي مما يلي:
