Another quote from a contract for the purchase of shares:

Ostajalla on aina oikeus (mutta ei velvollisuutta) käyttää Kauppahintaa [...] Myyjää kohtaan esittämiinsä vaatimuksiin (Kauppahinnan alennusvaatimukset ja muut korvausvaatimukset mukaan lukien) perustuvien saataviensa kuittaamiseen Myyjältä riippumatta siitä, ovatko vastakkaiset saatavat erääntyneet.

1) How is "Myyjältä" functioning in relation to the other parts of this sentence?
Does it belong together with "saataviensa" -- i.e., the receivables owed to the buyer by the seller?


2) What are "vastakkaiset saatavat"?
I.e., what are these receivables the "opposite"/"counterpart"/etc. of?


Once again:
I am hoping for an answer (however brief) to my questions above, not just a translation of the subject phrase in this thread.
(In fact, if I had to choose between the two, I'd rather have an explanation than a translation in this case. :))

Many thanks for responding. A few comments on the proposed translation of the whole sentence: 1) It says that the buyer has the right to offset the transaction price using the receivables, not that it must do so. 2) The claims in question are claims made to the seller by the buyer.

1) yes, the receivables are owed to the buyer by the seller
2) I would say "corresponding" receivables.

And I would translate the whole thing as
"The buyer must offset his receivables from the seller against the seller's claims, regardless of whether the corresponding receivables are due."
