The Parties agree that any and all rights in intangible property, including, without limitation, data, databases, reports, drawings, specifications, know-how, knowledge of a technical and/or scientific nature, software, design, inventions, documentations and/or other material and any and all intellectual property rights or similar rights recognized from time to time in any jurisdiction resulting therefrom, owned or controlled by a Party prior to the effective date of this Agreement (“Background”) or generated by or on behalf of a Party in connection with this Agreement (“Results”) shall vest in and be solely owned by such Party.
