(3) an amount (expressed as a positive or negative number), equal to the difference as of the Calculation Date between a and b where:
(a) equals the sum of (a) the costs payable by Contractor upon breakage of any commission period with respect to the principal amount and (b) the amounts payable by Contractor upon breakage of any hedging arrangement with respect to commission on the principal amount, in each case to or on behalf of the On-Lending Finance Parties upon termination of the Agreement; and
(b) equals the aggregate amount of payments received by or on behalf of the On-Lending Finance Parties as a result of breakage of any hedging arrangements with respect to commission on the principal amount upon termination of the Agreement; and
